The ICSI (Institute of Company Secretaries of India) maintains and regulates the profession of Company Secretaries. It offers education and training to aspiring Company Secretaries. A certified Company Secretary manages the legal aspects of a sole proprietorship or business enterprise.

Company Secretary is basically responsible for auditing and maintaining the keeping records, company’s tax returns, guiding the board of directors related to the company’s financial condition and making sure that the company complies with statutory and legal regulations.

In order to practice Company Secretaryship professionally, aspiring candidates has to pass examinations and complete professional training. A Company secretary is in charge of communication and shareholder administration, as well as legislative compliance and corporate governance.

Company Secretary also in charge of decreasing the firm's corporate governance and administrative load, sometimes it gets difficult to manage every administrative requirement in addition to its daily operations.

Eligibility Criteria for CS (Company Secretary) course:

The Company Secretary programme offered by the ICSI (Institute of Company Secretaries of India) includes three levels:

Foundation Programme (which is now replaced with CSEET (CS Executive Entrance Test))

Executive Programme

Professional Programme

Candidates who have completed class 10+2 in any discipline (Arts, Science, Commerce) from a recognised board with minimum 50% aggregate marks are eligible to appear in Foundation Programme.  Candidates who have completed graduation and holding a bachelor’s degree in any discipline (except Arts) are eligible to appear in Executive programme.

Candidates who have completed Executive programme are eligible to appear in Professional- programme.

Entrance exam for CS (Company Secretary) course:

Admission into ICSI (Institute of Company Secretaries of India) CS programme is open throughout the year. The exams are held twice a year in June and December months. Students can apply according to their convenience.

Candidates who want to appear in Foundation Programme exam in (same year) December have to register themselves till March 31 and students who wants to appear in the June exam next year have to register themselves till September 30.

Candidates who want to join Company Secretary Executive Programme have to register themselves till February 28 to appear in December exam for both modules in the same year or till August 31 to appear in June exam for both modules in the next year.

In case students wish to appear in a single module in the next year of June Examination, had to register themselves for Executive Programme till November 30.

A student is declared to have qualified the Foundation / CS-Executive / Professional exam in-case he/she obtained in one sitting 40 % aggregate marks in each paper and 50 % aggregate marks in every subjects.

After qualifying all the levels, candidates are eligible to handle and manage responsibilities and analytical tasks pertaining to auditing and financial assessments.

The examination conducts in Hindi as well as in English (Except Business Communication topic of Foundation course)

CS (Company Secretary) course duration:

The duration required to compete Company Secretary course is three years, which is similar to postgraduate degree course. The first level of the CS course, which is known as the foundation program is eight months long.

There is total four papers in Company Secretary Foundation Programme, while eight papers divided into 2 Modules in Company Secretary Executive Programme. In addition to it there are total nine papers which is further divided into three Modules in Company Secretary Professional Programme.
